Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Noviqi platform, including our website at noviqi.dev, APIs, dashboards, documentation, and all related services (collectively, the "Service"). The Service is operated by the Noviqi distributed team.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Please also review our Privacy Policy and Acceptable Use Policy, which are incorporated into these Terms by reference.

1. Public Beta Status and Limitations

The Service is currently in a public beta stage. You acknowledge and agree that:

• The Service is provided for testing, evaluation, and developmental use.
• Features, service availability, response times, and API endpoints may change or be suspended at any time without notice.
• The Service is currently offered free of charge. No billing credentials, subscription payments, or financial transactions are handled on the platform.
• We do not offer any service level agreements (SLAs), uptime guarantees, or support commitments.

2. Service Description and AI Providers

Noviqi provides an AI API gateway that optimizes, caches, and routes requests between your applications and downstream AI providers (such as OpenAI, Anthropic, Google, and others).

Noviqi acts as an intermediary proxy. We do not generate AI responses ourselves; responses are produced by the downstream AI providers you configure. You are responsible for maintaining your own active accounts and API credentials with each respective provider and complying with their terms.

3. Account Registration and Security

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Keep your account credentials and API keys secure and confidential.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately at security@noviqi.com if you suspect unauthorized use of your account.

You must be at least 16 years old to create an account.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Transmit malware, viruses, or destructive code.
• Interfere with or disrupt the performance, integrity, or security of the Service.
• Attempt to gain unauthorized access to our systems, other user accounts, or downstream AI networks.
• Circumvent rate limits or technical restrictions.

5. Intellectual Property and Content License

Noviqi Ownership: The Service, including all software, designs, algorithms, trademarks, and documentation, is the exclusive property of the Noviqi team.

Your Content: You retain all rights to the data, prompts, and configurations you transmit through the Service. You grant us a limited, non-exclusive, worldwide license to process, cache, and transmit your data solely to provide the Service to you.

Feedback: Any feedback, suggestions, or feature requests you provide may be used and incorporated by us without any obligation to you.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. We make no guarantees regarding token compression ratios, latency reductions, or routing stability.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE NOVIQI TEAM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total liability for all claims arising out of or related to these Terms or the Service shall not exceed one hundred dollars ($100 USD).

8. Termination

You may close your account at any time by contacting us at support@noviqi.com.

We reserve the right to modify, suspend, or terminate your access to the Service at any time, with or without cause, and without notice.
